Welcome to the website npgsolutions.gr (hereinafter the “Website”), which is owned and operated by NPG ENGINEERING SOLUTIONS E.E. (foreign-language name: NPG ENGINEERING SOLUTIONS L.P.) Access to and use of the Website is governed by these Terms of Use. By browsing/using the Website, it is presumed that the user (hereinafter the “User”) has read, understood and unreservedly accepts these terms. If you do not agree, please do not use the Website.

1. Purpose – No operation of an online store (e-shop)

1.1. The Website has an exclusively informative/presentational character regarding machinery, equipment, spare parts and/or related services of the Company.

1.2. No option for electronic ordering/purchase is provided through the Website and no online store (e-shop) is operated.

1.3. Any communication by the User (contact form, e-mail, telephone etc.) constitutes a request for information/expression of interest and does not constitute an order, nor does it create any binding obligation on the Company to conclude a contract.

2. (B2B) Intended recipients of content – Consumers

2.1. The Website is addressed primarily to professionals/businesses (B2B) interested in equipment and machinery solutions.

2.2. Any information addressed to individuals/consumers is also provided for informational purposes, without altering the non-binding nature of the postings.

2.3. In any case, any contract that may be concluded outside the Website shall be governed by the specific agreed terms and the applicable legislation from time to time (including mandatory consumer-protection provisions, where applicable).

3. Product information – Technical specifications – Availability

3.1. The Company makes reasonable efforts to ensure that the information (descriptions, technical specifications, photographs, specifications, manuals/brochures) is accurate and up to date.

3.2. Inadvertent errors, typographical or technical, may occur, as well as deviations due to manufacturer updates or display/rendering factors.

3.3. The availability of products/spare parts may change. Final confirmation of specifications, compatibility and availability is provided by the Company during communication/negotiation.

4. Prices – Excluding VAT – Non-binding indication – No offer

4.1. The prices stated on the Website are provided for information purposes only and do not constitute a binding offer or an invitation/proposal to enter into a contract.

4.2. All prices are stated excluding VAT. VAT (and any other lawful charges) is added upon invoicing, in accordance with applicable legislation.

4.3. Unless expressly stated otherwise, prices do not include transport/delivery costs, installation, commissioning, configuration, training, consumables, or technical support/service.

4.4. The Company reserves the right to amend prices without prior notice. The final price and commercial terms are determined only by a written offer/financial proposal and/or contract/order agreed outside the Website.

5. Installation and service services (subject to agreement)

5.1. The Company may provide installation, commissioning, maintenance and technical support (service) exclusively subject to a specific agreement.

5.2. The provision of services may require a site inspection/application study, availability of spare parts/technicians, as well as compliance with site specifications and safety rules.

5.3. The scope, pricing, timetable, terms of access to the premises and any travel/accommodation expenses are determined exclusively by a written offer and/or contract/work order.

6. Conclusion of contract outside the Website – Priority of specific terms

6.1. Any contract for sale/supply/provision of services is concluded exclusively outside the Website, following acceptance by the Company and agreement on the specific terms (price, delivery, payment, installation, service etc.), as a rule in writing.

6.2. In the event of conclusion of a contract, the specific terms (offer/contract/order/invoice/work order) shall prevail over any general information on the Website.

7. Warranties – After-sales – Limitations

7.1. Any product warranty (statutory and/or commercial), as well as after-sales support terms, are determined by: (a) the applicable legislation (where applicable), and/or (b) the terms of the manufacturer/supplier, and/or (c) the written specific terms agreed between the Company and the customer outside the Website.

7.2. Information on the Website regarding warranties, service or support features is indicative and does not create a commitment unless expressly repeated in a written offer/contract.

11.2. In such case, the performance period is extended for as long as the impediment lasts and for a reasonable restoration period. If the impediment becomes permanent or excessively prolonged, the parties may readjust the terms or terminate the contract, in accordance with the provisions applicable from time to time.

12.1. The Website may contain links to third parties. The Company is not responsible for their content/terms/practices.

13. Communications – Forms

13.1. The User is responsible for the information submitted and the sending of unlawful/offensive material is prohibited.

13.2. The Company may keep a record of communications in accordance with the Privacy Policy and applicable legislation.

15. Amendment of Terms – Severability – No waiver

16. Applicable law – Jurisdiction

16.1. Greek law applies. The Courts of Athens shall have exclusive jurisdiction, by express and unreserved derogation of territorial jurisdiction pursuant to the relevant provisions of the Greek Code of Civil Procedure, as in force, unless mandatory legal provisions provide otherwise.
